As you know, MFISC LLC purchased the assets of ETC (UK) Ltd a/k/a GIB on February 22nd, 2002. We did this in an attempt to allow the
preexisting GIB dialer business to function autonomously from the group of which it had become a part.
The Sale and Purchase Agreement that was presented to us on February 22nd, 2002 turned out to be misleading as to ETC's: (i) current state of
affairs; and (ii) willingness to properly assume obligations regarding the non-dialer parts of its business. In addition, we learned that some ETC
assets were either taken or offset by ETC and placed beyond the reach of MFISC's acquisition.
Although every attempt was made to ensure ETC's continuation as a going concern, it is now believed, in light of the foregoing, that there is no
viable case for it to continue.
To this end, the accountants David Rubin & Partners have been instructed to assist with the convening of a meeting of ETC's creditors, about
which formal notice will be circulated shortly.
