:mad Question for LLC owners and Paxum business accounts:

Paxum doesn't seem to understand what an LLC is and that we write our own bylaws. So they want something from the state saying explicitly that I own 100% of my LLC. However, the only thing filed with the state is my initial filing, and that shows my attorney only since he is the Registered Agent of the LLC. But not an owner.

Initial resolutions and the operating agreement are contracts, but they aren't filed with the state and therefore don't have some official seal. So Paxum isn't accepting them.

So what did you send Paxum to show them you own your LLC?

Google your question. Follow some of the state links confirming there is no seal of ownership. We went through same thing. I'm sorry I don't have the links handy. It also depends where you formed your LLC maybe. US LLC's must be far different from what they are used to. Maybe your attorney could draft something quick to them.

We finally explained they were looking for a document that does not exist and pointed them to the state links confirming this.

If you don?t have a k1 then your return should do. Your SS4 might do. A letter from your accountant might do.
Your attorney should, or you should have your formation papers. You should also have share papers. Write 100% on one. Call the irs and have them fax you the ein paper. That will list if it?s a sole/partnership/llc taxed as s etc.

None of this satisfies what they are looking for. Unfortunately. Been there done that.

Just got the Statement of Information back from my lawyer and it has me listed as the only owner and is stamped and numbered into the secretary of state's system.

So going to give them that.

Just to help anyone else with this issue...

The magical piece of paper they needed was the statement of information. Here in Cali you file it online for $20. It comes back to you via email as a PDF the next business day complete with a filling number and some stamps from the state. And lists who are the members of the LLC.
