Companies Dissolution / Lawyer Help? :P
Hey guys, i know there are some experienced lawyers / users dealing with off shore companies here, i have a quick question.
I registered two companies in the past, i never used them, i want to Voluntary Dissolve them, i'm being said by the registering lawyer firm that this dissolvation costs 4 times what it costs just renewing it .... When i thought it was a quick and easy process for what i read, companies where registered in Seychelles and Gibraltar. On the other hand, they told me this: "We can arrange for the either / both companies to be dissolved. The cost for this is £XXXX per company. Otherwise we can do nothing and allow the companies to be struck off naturally. These companies could be reinstated but restoration fees and penalty fees would have to be paid depending on the date when you would reinstate. " What happens if i don't do anything? Actually sounds so pretty easy and nice, so i'm afraid it may be something hidden from my lawyer side ... ? Or its just like that, i let them there without payment and they will eventually be dissolved and i don't have to pay anything? |

I never used the company in any way, they were meant for a project i never launched, company complies with all the necessary tips to be dissolved, i just don't want to keep paying annual fees when i'm not using the company, has no sense, so thats why i thought on dissolving them and then restoring them when project is launched, but i got this answer from the lawyer saying its like 4 times the anual fees disolving them. Then it talked about letting them natually struck off. He also told me i could then re-enable them by paying some extra fees, that sounds great for me, i just want to know from a third party what exactly happens if i leave them there without payment and do nothing like my registrar recommended ... Sounds kinda wrong .... |

My clients use the corps, don't use the corps, bankrupt the corps, fuck up the corps; often because they don't know what they are doing and it all comes to nothing as most of them don't ever renew. Most of them do not intend to renew anyway. Makes no difference. No big deal, no crime, no reflection on you. Don't waste a Dime, Drachma, Pound or Yen on renewing a corp that you are not going to use. Much less expensive to set up a new corp and run with that one. Don't sweat it; if you need a new corp, get one and let the old ones die and go to Corporate Heaven or Corporate Hell as the case may be. You need a USA corp, hit me up! No difference between the corps I set up and those set up by things like Legal Zoom............we both use the same form from the Secretary of State but I don't charge you extra for Registered Agent service, I do not require a Social Security Number, I do not require a business license, I am entirely legal and I cost you One Hell of A Lot Less. Reeax and feel free to contact me if you think I can help you. Letting a corp die ain't no thang! |

![]() ![]() So i guess i will leave this Seychelles and Gibraltar companies go to the companies heaven as you say and thats all as i never used them, dam how stupid i was i even spent money renewing them this last two years when i was not using them .... hope i new this before ... So in resume, i won't have troubles trying to get a new one on that jurisdiction if i pay the advance fees for the new companies if i let this ones die? ( Company is in good standing, never was used for anything, as plain as that, nothing wrong behind them, i just didn't use them ). |

Corporations
Just let them die. If you ever want to incorporate in those countries again, they won't care. Each corporation is a totally separate "person." They might send you a demand payment for "dissolution," just ignore it. They can't sue you, they can only sue the corporation.
